These Terms of Service (the “Terms”) govern your access to and use of the AsherSupport help desk and scheduling platform, together with any related websites, dashboards, APIs, and applications (collectively, the “Service”). 1. Agreement & acceptance
By creating an account, clicking to accept these Terms, or accessing or using the Service, you agree to be bound by these Terms and by any policies referenced in them, including our Privacy Policy, Acceptable Use Policy, and Cookie Policy. If you do not agree, you may not use the Service.
If you are entering into these Terms on behalf of a company or other legal entity, you represent that you have the authority to bind that entity, in which case “you” and “your” refer to that entity. If you and AsherSupport have signed a separate written master agreement or order form for the Service, that agreement controls to the extent it conflicts with these Terms.
2. Definitions
- Customer (also “you”) — the individual or entity that registers for or subscribes to the Service.
- Agent — a person you authorize to access and use the Service under your account, such as a support representative, scheduler, or administrator.
- End User — a customer, contact, or visitor of yours who submits a support request, books an appointment, or otherwise interacts with the desks and booking pages you operate through the Service.
- Customer Data — all data, content, and information that you or your Agents or End Users submit to or generate through the Service, including tickets, messages, attachments, contact records, and scheduling details.
- Controller and Processor — as described in Section 7, the roles the parties hold with respect to End User personal data.
3. Eligibility & accounts
You must be at least 18 years old and capable of forming a binding contract to use the Service. You are responsible for the activity of every Agent account created under your organization.
Agent accounts
You may invite Agents to use the Service subject to your plan’s seat limits. Each Agent account is for a single, named individual and may not be shared. You are responsible for ensuring your Agents comply with these Terms.
Account security
You must provide accurate registration information and keep it current. You are responsible for safeguarding account credentials and for all activity that occurs under your account. Notify us promptly at [legal@ashersupport.com] if you suspect any unauthorized access or security breach.
4. Subscriptions & plans
The Service is offered under several plans — Free, Starter, Growth, and Scale — each with different features, usage limits, and pricing. Current plan details are described on our pricing page or in an applicable order form.

Billing & auto-renewal
Paid plans are billed in advance on a monthly or annual basis, depending on the billing cycle you select. Subscriptions renew automatically at the end of each billing cycle at the then-current rate unless you cancel before the renewal date. You authorize us and our payment processors to charge your designated payment method for all applicable fees.
Cancellation
You may cancel your subscription at any time through your account settings or by contacting us. Cancellation takes effect at the end of the current billing period, and you will retain access to paid features until then.
Refunds
Except where required by applicable law, fees are non-refundable and there are no refunds or credits for partial billing periods, unused Agent seats, or features not used.
Price & plan changes
We may change our prices, plan features, or usage limits. For changes that affect a paid plan you are actively subscribed to, we will provide advance notice (for example, by email or in-product notice), and the change will take effect on your next renewal. Your continued use after the change takes effect constitutes acceptance of the new pricing or plan terms.
Taxes
Fees are exclusive of taxes. You are responsible for all sales, use, value-added, and similar taxes associated with your subscription, other than taxes based on our net income.
5. Free trials
We may offer free trials of paid plans. Unless stated otherwise, a trial gives you time-limited access to certain features. We may modify or discontinue a trial at any time. If you do not cancel before the trial ends, we may begin charging your payment method for the applicable plan. Any Customer Data you add during a trial may be permanently deleted if you do not upgrade to a paid plan within a reasonable period after the trial ends.
6. Customer Data & content
You own your Customer Data. As between you and AsherSupport, you retain all right, title, and interest in and to your Customer Data. We do not sell your Customer Data.
You grant us a worldwide, non-exclusive license to host, copy, transmit, process, and display Customer Data solely as necessary to provide, secure, maintain, and improve the Service, to prevent or address technical or security issues, and as otherwise permitted by these Terms and our Privacy Policy.
You are solely responsible for your Customer Data, including its accuracy, legality, and the rights and consents needed to submit it to the Service. You represent that you have all necessary permissions to collect and process the End User data you route through your desks and booking pages.
7. Roles regarding End User data (controller / processor)
Because AsherSupport is used by businesses to run support desks and booking pages for their own brands, you determine what End User personal data is collected and how it is used. Accordingly, with respect to End User personal data submitted through the Service, you are the controller and AsherSupport acts as the processor, processing that data on your behalf and in accordance with your instructions.
Our processing of personal data is described in our Privacy Policy. Where required by applicable data-protection law, the parties will enter into a Data Processing Addendum (DPA), which is incorporated into these Terms by reference and governs the processing of End User personal data. You are responsible for providing any notices to, and obtaining any consents from, your End Users that applicable law requires.
8. Acceptable use
Your use of the Service must comply with our Acceptable Use Policy, which is incorporated into these Terms by reference. Among other things, you may not use the Service to send unlawful, infringing, or abusive content; to transmit malware; to harass or defraud End Users; or to violate the rights of others. We may investigate suspected violations and take appropriate action, including removing content or suspending access.
9. Third-party services
The Service may integrate with or rely on third-party products and services — for example, video meetings (such as Zoom), email delivery providers, payment processors, and cloud hosting infrastructure. Your use of any third-party service is governed by that provider’s own terms and privacy policies, and we are not responsible for third-party services. Enabling an integration may involve sharing Customer Data with the relevant provider as needed to make the integration work.
10. AsherSupport intellectual property & license
The Service, including its software, design, branding, documentation, and all related intellectual property, is and remains the exclusive property of AsherSupport and its licensors. Subject to your compliance with these Terms and payment of applicable fees, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Service for your internal business purposes during your subscription term.
You may not, and may not permit others to:
- copy, modify, or create derivative works of the Service;
- reverse engineer, decompile, or attempt to derive source code, except to the extent permitted by law;
- resell, sublicense, or provide the Service to third parties except as expressly allowed;
- remove or obscure any proprietary notices; or
- use the Service to build a competing product or to benchmark it without our consent.
11. Feedback
If you provide us with suggestions, ideas, or other feedback about the Service, you grant us a perpetual, irrevocable, worldwide, royalty-free license to use and incorporate that feedback into the Service without any obligation or compensation to you.
12. Service availability, support & modifications
We strive to keep the Service available and reliable but do not guarantee uninterrupted or error-free operation. The Service may be unavailable from time to time due to maintenance, updates, or circumstances beyond our control. Support is provided according to your plan. We may modify, enhance, or discontinue features of the Service; where a change materially reduces core functionality of a paid plan, we will use reasonable efforts to provide advance notice.
13. Suspension & termination
You may stop using the Service and terminate your account at any time as described in Section 4. We may suspend or terminate your access, in whole or in part, if:
- you materially breach these Terms, including the Acceptable Use Policy;
- your account is past due or your payment method fails and is not corrected after notice;
- your use poses a security risk or may cause harm to us, other users, or third parties; or
- we are required to do so by law.
Where practical and lawful, we will give you notice before suspension. Upon termination, your license to use the Service ends. For a limited period after termination (the “data export window”), you may export your Customer Data using the tools we make available. After that window closes, we may permanently delete your Customer Data in the ordinary course, subject to any retention required by law or our Privacy Policy. We recommend exporting any data you wish to keep before terminating.
14. Warranty disclaimer
THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY. TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE DISCLAIM ALL IMPLIED WARRANTIES, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND ANY WARRANTIES ARISING FROM COURSE OF DEALING OR USAGE OF TRADE. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE, OR THAT ANY DATA WILL BE ACCURATE OR PRESERVED WITHOUT LOSS.
15. Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, NEITHER PARTY WILL BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, ARISING OUT OF OR RELATING TO THE SERVICE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
EXCEPT FOR YOUR PAYMENT OBLIGATIONS AND EITHER PARTY’S INDEMNIFICATION OBLIGATIONS, EACH PARTY’S TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THESE TERMS WILL NOT EXCEED THE AMOUNTS YOU PAID TO US FOR THE SERVICE IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE LIABILITY. SOME JURISDICTIONS DO NOT ALLOW CERTAIN LIMITATIONS, SO SOME OF THE ABOVE MAY NOT APPLY TO YOU.
16. Indemnification
You will defend, indemnify, and hold harmless AsherSupport and its affiliates, officers, and employees from and against any third-party claims, damages, liabilities, and reasonable expenses (including attorneys’ fees) arising out of or relating to your Customer Data, your use of the Service, your violation of these Terms, or your violation of any law or the rights of any third party (including your End Users).
17. Governing law & dispute resolution
These Terms are governed by the laws of [Jurisdiction], without regard to its conflict-of-laws rules. The parties will attempt in good faith to resolve any dispute informally before pursuing formal proceedings. Any dispute that cannot be resolved informally will be subject to the exclusive jurisdiction of the courts located in [Jurisdiction], and each party consents to venue there, except that either party may seek injunctive relief in any court of competent jurisdiction to protect its intellectual property or confidential information.
18. Changes to these Terms
We may update these Terms from time to time. If we make material changes, we will provide notice through the Service or by other reasonable means and update the “Last updated” date above. Your continued use of the Service after the changes take effect constitutes acceptance of the revised Terms. If you do not agree to the changes, you must stop using the Service.
